1. Introduction

The following Terms and Conditions apply to the use of the Chefchart social network, available at http://www.chefchart.com/ (“Website”). The Website is owned and managed by Chefchart, Lda. a company with registered offices at Avenida Defensores de Chaves, N 2, 8 D 1000-117 Lisbon, registered in Portugal under the corporate tax number 514314524 (“Chefchart”).

The Website is a platform where individuals can upload and share their recipes, cooking tips and traditions, as well as to comment and rate each other’s recipes and cooking tips (“User Content”), as well as to announce and search for job opportunities within the catering sector (“Job Opportunities”).The access, registration and use of the Website is governed by these Terms and Conditions and by the Privacy and Cookies Policy. Access to the Website implies the acceptance of the mentioned documents.

Chefchart may modify these Terms of Use and by the Privacy and Cookies Policy from time to time. In that event, Chefchart will inform the Registered Users of such changes, which will be deemed to be accepted whenever the Users continue to use the Website.

This Privacy Policy and the Terms and Conditions constitute the total agreement between Registered Users and Visitors and Chefchart. Individuals who do not agree with these documents should refrain from using the Website.

2. Accessing the Website

The Website can be navigated by: (i) users who create a User Account in ChefChart’s and log in to access the Website’s Contents (“Registered Users”) or by (ii) users who access the Website without sign up for a User Account (“Visitors”).

2.1 Registered Users

Users who wish to fully explore the functionalities of the Website must sign up for a User Account.

To create a User Account, users will have to indicate their name, nationality and Pro Chef or Home Chef qualification (please see Pro Chefchart and Home Chefchart.). Users can also complete their Profile with a brief description and personal history, information regarding their professional experience, academic background, catering establishments, recipes portfolio, photographs and/or presentation video.

Users will also be required to define log in credentials, either by (i) providing a valid e-mail address and password; or (ii) by logging in with their Facebook account.

Registered Users must choose a strong password and keep their log in credentials secure and confidential. Registered Users will be solely liable for any consequences arising from the use of their User Account contrary to these Terms and Conditions, Privacy Policy or the applicable legislation, unless Registered Users can demonstrate that such use was not carried out by themselves.

2.1.1. Pro Chefchart and Home Chefchart

When signing up for a User Account, Registered Users will have to identify themselves and their Recipes as “Pro Chef” or “Home Chef”.

A Registered User should register as “Pro Chef”, where he/she is a professional in the hotel and catering sector or a student in such fields.

On the other hand, a Registered Users will be considered Home Chef whenever he/se is an amateur cook, focused in homemade meals.

2.2 Visitors

Visitors may freely access, view and navigate the sections of the Website, except for the sections regarding professional recipes and Cookbook.

However, Visitors cannot share their own Content or interact with other Visitors or Registered Users. To that effect, Visitors must create a User Account.

2.3 Navigating the Website

By signing up for a User Account, Registered Users will be able to:

  • Create a Profile visible to all the Registered Users and Visitors, displaying the Registered User’s name, nationality, number of followers, recipes portfolio, history, self-presentation video, photos, establishments, professional experience and education. and recipes saved to the Cookbook;
  • Follow other Registered Users and be followed by Registered Users;
  • Interact with other Registered Users;
  • Share own recipes and receive feedback from other Registered Users;
  • View and comment other Registered Users’ Recipes;
  • Save favourite recipes to the Cookbook;
  • Search for job opportunities and/or promote new vacancies within the food industry.

2.4 Uploading, sharing and using Content

Registered Users can upload and share their own Content using the Website, such as Recipes, messages, comments, ratings and job opportunities, among others.

Without prejudice to the provisions of the Privacy Policy on personal data, Content shared by each Registered User may be made available to, accessed and used by other Registered Users (and, in certain cases, by Visitors) within the limits of these Terms and Conditions. Registered Users should not upload and share to the Website any information or Content which should be kept secure and confidential and/or is not intended to be used by third parties.

Registered Users may also access, view and use the Content shared in the Website by other Registered Users. Other Registered Users’ Content should only be used by Registered Users for personal and non-commercial purposes, in order to develop own cooking skills and as an inspiration to create own Content.

Registered Users may also comment and provide feedback regarding other Registered Users’ Content. Such activity must also be carried out in strict compliance with these Terms and Conditions.

Registered Users should not upload, share or Content of any kind which is, among others:

  • Inaccurate, defamatory, obscene, shocking, hateful, threatening, discriminatory or otherwise unlawful, dishonest, abusive or inappropriate;
  • Offensive and/or diminishing towards other Registered Users or their own Content;
  • Misleading as to the Registered User’s identity, such as Content suggesting someone else’s identity (notwithstanding the right to use pseudonyms or professional names);
  • Unauthorized advertising, marketing or spam;
  • Designed to circumvent the purposes and restrictions of the Website;
  • Protected by third-parties’ rights, such as Intellectual Property Rights or confidentiality obligations.

Chefchart is not bound to publish or maintain any Content uploaded to the Website by Registered Users. Chefchart reserves the right to remove immediately and at its sole discretion any inappropriate and/or unrelated Content, including (but not limited to) Content which infringes these Terms and Conditions, the Privacy Policy or any applicable legislation, as well as to suspend or ban the Registered User which uploaded such Content.

However, Chefchart is not obliged to monitor the Content uploaded by Registered Users, which take full responsibility for all the Content uploaded and shared using the Website. Chefchart will not be liable for any Content uploaded or shared by Registered Users, Visitors or any third parties, whether in accordance with these Terms and Conditions or contrary to such Terms and Conditions, which may be deemed to be contrary to any applicable legislation or regulations.

2.5 Chefchart Jobs

The Website includes a section where Registered Users can announce, search and apply for Job Opportunities. Registered Users and Visitors who wish to post a Job Opportunity (“Prospective Employers”) must fill the form available at the Website.

Registered Users and Visitors may also apply for Job Opportunities (“Applicant”). To this effect, Applicants must click “Apply for this Offer” and fill the form with their contact data. Additionally, Applicants may upload their CVs, which will only be made available to Prospective Employers who announced such Job Opportunity.

For the sake of clarity, Chefchart is not a recruiting agency nor is part or acts on behalf of any of the parties in the recruiting process. Chefchart and the Website only aim at facilitating contacts between Prospective Employees and Applicants. Prospective Employers and Applicants acknowledge that Chefchart does not take part in any stage of the recruitment process and may not be liable for any claims regarding the use of the Website for staff recruitment purposes.

3. Intellectual Property Rights

3.1 Chefchart’s

Chefchart reserves all the rights in the Website, such as trademarks, logos, patents, copyrights, trade secrets rights, among others (“Intellectual Property Rights”). Except for User Content, the contents included in the Website, such as information, logos, trademarks, photographs or videos, are protected by rights which are owned by Chefchart or have been licensed by third parties for Chefchart’s use on the Website. No Intellectual Property Rights are transferred to the Registered User in the context of use of the Website.

Notwithstanding each Registered User’s right to use his/her own User Content, Registered Users and Visitors cannot reproduce, copy, imitate, communicate, distribute or otherwise use any of the contents included in the Website for purposes other than the use of the Website in accordance with these Terms and Conditions.

3.2 Registered User’s

Registered Users will hold all the Intellectual Property Rights regarding their own User Content. However, Registered Users hereby grant Chefchart a worldwide, non-exclusive and sub-licensable license for use of their own User Contents. Such license shall allow Chefchart to reproduce, copy, publish, modify and somehow use the User Contents in the creation, development and management of the Website. License will allow the use of the User Contents by Chefchart without the prior and specific authorisation from the owner Registered User, who will also not be entitled to any compensation from such use.

Registered Users guarantee that the User Content uploaded to the Website does not infringe any Intellectual Property Rights of third parties. Registered Users will be solely liable for any claims of infringement regarding the User Content uploaded to the Website and will defend Chefchart and other Registered Users from any claims brought against them with grounds on the infringement of Intellectual Property Rights due to the use of own User Content.

The license granted by a Registered User terminates when such Registered User deletes his/her User Account. In that event, Chefchart will cease to use the User Content and will delete such User Content from the Website.

4. Links to third party websites

The Website may contain links to website which are owned and managed by third parties. Chefchart does not control such third party websites and will not be liable for their contents. Users acknowledge that the use of such third party websites will be subject to their own terms and conditions and privacy policy.

5. Limitation of Liability and Warranties

The Website is provided "as is" and without any warranty or condition. Any implied warranties of title, merchantability, or fitness for a particular purpose are disclaimed by Chefchart. Chefchart does not guarantee that the Website will function without interruption or errors, and that it will be available at any times.

Chefchart reserves the right to provide the Website in its sole and absolute discretion.

To the extent permitted by law, Chefcharts assumes no liability or responsibility for any errors or omissions in the Website; any failures, delays or interruptions in the Website; or any damages caused by the conduct of other Registered Users and Visitors of the Website.

6. Applicable Legislation and Dispute Resolution

These Terms and Conditions will be governed by the laws of Portugal. All the claims arising from these Terms and Conditions and connected with the use of the Website must be subject to the exclusive jurisdiction of the Courts of Lisbon, Portugal.
